Досвід уніфікації та гармонізації регулювання цивільно-правових договорів у Європейському Союзі для договірного права

Abstract

Стаття присвячена аналізу досвіду уніфікації та гармонізації регулювання цивільно-правових договорів у Європейському Союзі для договірного права. В статті проаналізовано діюче цивільне законодавство за законодавство Європейського Союзу, наукові публікації з тематики дослідження. Зазначено, що економічні інтеграційні процеси вимагають відповідної правової адаптації, зокрема поступового приведення правового регулювання майнових відносин товарного характеру в Україні у відповідність до умов внутрішнього ринку Європейського Союзу, а також до його правових засад і принципів. Це необхідно для досягнення гармонізації та уніфікації в окремих галузях. Встановлено, що «принципи європейського договірного права», які відображають спільну основу договірного законодавства країн-членів Європейського Союзу та слугують пробним проектом для майбутнього Європейського цивільного кодексу, є цікавими й у низці інших аспектів. Зокрема, вони передбачають можливість змінювати або припиняти договір у разі виникнення труднощів, встановлюють пріоритет принципів добросовісності та чесної ділової практики над іншими нормами, а також передбачають можливість відкликання оферти й інші положення. Зроблено висновок про то, що окресливши основні проблеми українського договірного права та визначивши напрями можливого запозичення позитивного досвіду уніфікації та гармонізації регулювання цивільно-правових договорів у Європейському Союзі, варто наголосити, що значення цього досвіду у складних умовах переходу України до ринкової економіки є надзвичайно важливим. Не дивно, що багато аспектів європейського підходу вже знаходять відображення в сучасному українському законодавстві. Водночас не слід переоцінювати роль цього досвіду. По-перше, українське право завжди зберігало і продовжує зберігати національні традиції та само-бутність. По-друге, система приватного права Європейського Союзу досі перебуває у процесі формування. Попри прогресивне регулювання окремих інститутів договірного права, вона стикається з численними проблемами, колізіями та відсутністю розробки деяких важливих інститутів.

The article is devoted to the analysis of the experience of unification and harmonization of the regulation of civil law contracts in the European Union for contract law. The article analyzes the current civil legislation for the legislation of the European Union, scientific publications on the topic of the study. It is noted that economic integration processes require appropriate legal adaptation, in particular, the gradual alignment of the legal regulation of property relations of a commodity nature in Ukraine with the conditions of the internal market of the European Union, as well as its legal foundations and principles. This is necessary to achieve harmonization and unification in certain areas. It is established that the “principles of European contract law”, which reflect the common basis of the contract legislation of the member states of the European Union and serve as a pilot project for the future European Civil Code, are interesting in a number of other aspects. In particular, they provide for the possibility of amending or terminating the contract in the event of difficulties, establish the priority of the principles of good faith and fair business practice over other norms, and also provide for the possibility of withdrawing the offer and other provisions. The conclusion is that having outlined the main problems of Ukrainian contract law and having identified the directions of possible borrowing of positive experience of unification and harmonization of regulation of civil law contracts in the European Union, it is worth emphasizing that the significance of this experience in the difficult conditions of Ukraine’s transition to a market economy is extremely important. It is not surprising that many aspects of the European approach are already reflected in modern Ukrainian legislation. At the same time, the role of this experience should not be overestimated. First, Ukrainian law has always preserved and continues to preserve national traditions and identity. Second, the system of private law of the European Union is still in the process of formation. Despite the progressive regulation of individual institutions of contract law, it faces numerous problems, conflicts and the lack of development of some important institutions.
